MASTER TERMS AND CONDITIONS

Effective Date: Tuesday, February 25, 2025

These Master Terms & Conditions (“Terms”):

(a) Are incorporated into and constitute material terms of each Service Agreement (as defined below) between WEGA, LLC (a Vietnam limited liability company, “we,” “us,” “our”) and the Customer (“you”);

(b) Govern all services provided by SiteRepairHub (the “Services”).

Capitalized terms not defined herein shall have the meanings ascribed in the applicable Service Agreement. In the event of conflict, the Service Agreement prevails.

1. INTRODUCTION

SiteRepairHub (“Platform”) is a website maintenance service operated by WEGA, LLC (Hanoi, Vietnam). By accessing or using the Platform, you agree to these Terms. If you disagree, discontinue use immediately.

2. SCOPE OF SERVICES

  1. Performance: SiteRepairHub shall perform Services as described in the applicable Quote or Service Agreement.
  2. Modifications:
    • Changes to the scope require a mutually agreed written Change Order.
    • Customer has 7 days to accept a proposed Change Order. Failure to respond voids the proposal.

3. TYPES OF SERVICES

We offer three subscription plans:

4. THIRD-PARTY SERVICES

  1. Third-Party Vendors: Services may rely on third-party providers (“Vendors”).
  2. Governance: Vendor terms apply to their services. SiteRepairHub is not liable for Vendor actions.
  3. Disputes: Customer must dispute Vendor charges within 30 days of invoice receipt.

5. LAWFUL USE

You agree not to:

  • Engage in unauthorized access, hacking, or disruption of the Platform.
  • Post unlawful, abusive, or harmful content.
  • Violate applicable laws (e.g., GDPR, CCPA, or Vietnamese regulations).

6. USER ACCOUNTS

  1. Credentials: You are responsible for account security and all activities under your account.
  2. Suspension: We reserve the right to suspend accounts for violations of these Terms.

7. CONTENT OWNERSHIP & LICENSES

  1. User Content: By submitting content (e.g., feedback, suggestions), you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, modify, and distribute it for business purposes.
  2. Attribution: We are not obligated to attribute or compensate you for such content.

8. INTELLECTUAL PROPERTY

All Platform content (text, graphics, logos) is owned by WEGA, LLC and protected under Vietnamese law and international treaties (e.g., Berne Convention).

9. PAYMENT TERMS

  1. Payment Processor: All payments are processed via Paddle (paddle.com), our authorized payment gateway. By using Paddle, you agree to their Terms of Service
  2. Authorization: By providing payment details, you authorize recurring charges per your selected plan.
  3. Currency: Fees are billed in USD. Exchange rates and foreign transaction fees may apply.
  4. Late Payments:
    • Payments overdue by 30 days incur interest at 1.5% monthly (or the maximum legal rate).
    • Persistent defaults may result in service suspension or termination.

10. REFUND POLICY

  1. Eligibility:
    • PRO Yearly Subscriptions: Full refunds are available within 3 days of purchase if requested via [email protected].
    • Non-Refundable Plans: PRO Monthly, Basic, and Premium plans are non-refundable except as required by law.
  2. Process: Refunds will be issued via the original payment method within 14 business days.

11. TERMINATION

  1. By Us: We may terminate Services with 30 days’ written notice or immediately for material breaches (e.g., non-payment).
  2. By You: You may cancel Recurring Services with 30 days’ written notice and completion of our cancellation form.
  3. Post-Termination: Archived data may be deleted at our discretion.

12. GOVERNING LAW & DISPUTE RESOLUTION

  1. Primary Jurisdiction: These Terms are governed by the laws of Vietnam, with disputes resolved in Hanoi courts.
  2. International Compliance: We adhere to international standards (e.g., GDPR for EU users).
  3. Dispute Steps:
    • Negotiate in good faith for 30 days.
    • Unresolved disputes shall proceed to litigation in Vietnam.

13. LIMITATION OF LIABILITY

Our aggregate liability shall not exceed the total fees paid by you in the preceding 12 months. We exclude liability for indirect, consequential, or punitive damages.

14. FORCE MAJEURE

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, pandemics).

15. UPDATES TO TERMS

We may revise these Terms periodically. Continued use after updates constitutes acceptance. Changes will be posted at https://siterepairhub.com/terms-of-service.
